This agreement describes the terms and conditions for participation in the Handyman Network Program, administered by Azure Marketing. The terms "Affiliate," "you," and "your" are referring to you, the applicant. "We" and "our" refer to Azure Marketing (exclusive owners of The Azure Handyman Network).
We are independent parties and this agreement will not form any partnership.

AGREEMENT DURATION
This agreement will begin upon submission of your application and will end when terminated by either party after the minimum term of 18 months.

Termination may happen with or without cause, by giving the other party written notice of termination.

MODIFICATION
By posting a Change Notice or a new agreement on this site, we may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. If any of the modifications are UNACCEPTABLE TO YOU, your only recourse is to terminate this Agreement after your minimum 18-month term. If you CONTINUE PARTICIPATION IN THE PROGRAM following the posting of a Change Notice or new agreement, it will be considered as your acceptance of the change.

INCLUSIONS AND EXCLUSIONS
Azure Marketing will bear the cost of acquiring your .co.uk domain name and of hosting your website. You will be provided with the domain name of your choice as long as it is available.

Alterations to the navigational structure, colour scheme and images of the site are not included in the monthly fee. Alterations to the site are limited to text changes only and must be submitted electronically (by email, CD Rom or floppy disk). You may submit as many text changes as you like, but they should be submitted no more than once a month ie. 1 email per month with all changes noted, rather than 10 emails per month with changes individually noted. Additional alterations will be charged on a customised basis. A fixed quote will be issued prior to work commencing and will only be undertaken on your approval.

FEES
Payment of fees is on a monthly basis from the date of submission and must be administered by standing order. Work will begin on your site on receipt of the initial payment. There is no set up fee, and the monthly flat rate is £15. Termination of payment by you will result in the termination of this contract and your website being taken offline. You are liable to continue payments until the end of the 18-month period. We have the right to charge an additional monthly finance charge of 1.5% on any outstanding amounts if payment is terminated prior to the end of the 18-month contract. You may also be liable for any other charges incurred in recovering outstanding amounts.

ABOUT LIABILITY
We will not be liable for indirect or accidental damages (loss of revenue) as a result of "intents of harm" to the program or our websites. We do not make any expressed or implied warranties with respect to the program and/or services sold at this site. We make no claim that the operation of the program and our website will be error-free and we will not be liable for any interruptions or errors.

WEB SITE RESTRICTIONS
Azure Marketing reserves the right not to accept any person into the Azure Handyman Network Program based on submitted content.

SPAM (UCE)
Unsolicited Commercial E-mail – Azure Marketing in no way participates in mass unsolicited e-mailing (i.e. spamming), and all members of the Program are expected to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal from the Handyman Network Program.

DISCLAIMER
We make no express or implied warranties or representations with respect to the Program or your potential to earn income from the Azure Handyman Network Program. In addition, we make no representation that the operation of our site or any Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time.

This Agreement will be governed by the laws of England. Any action relating to this Agreement must be brought in the courts located in England and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

AGREEMENT

By submitting your form for inclusion in the Azure Handyman Network, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.
